The buyer: Any purchasing natural person and/or legal entity holding a VAT number, who/which orders the “graphic project(s)”.
1. START AND TERMINATION OF CONTRACT DATES
- Confirmation by the Seller of the Buyer’s orders implies acceptance of these General Conditions of Service, Purchase and Delivery. Any deviation from these Conditions shall have no effect between the parties unless confirmed in writing by the Seller to the Buyer.
- This Contract shall be binding on the parties and shall take effect on the date of confirmation of the order by the Seller to the Buyer.
2. SUBJECT MATTER- PRICE- DELIVERY TERMS
The Seller shall supply to the Buyer, the “graphic projects” as better identified in the supply order.
The price of each “graphic project” shall be established from time to time between the parties as indicated on the supply order.
The delivery of the “graphic projects” shall take place by means of ftp or paper book, as indicated in the supply order.
The price shall be understood to include transport costs to destination, while any duties, direct or indirect taxes (VAT, etc.) and additional charges not expressly listed herein shall be to the charge of the buyer.
Payment of the price shall be made at the same time as the order, upon presentation of a regular invoice by the Seller.
In the event of late payment with respect to the agreed terms, interest shall be charged at the official discount rate increased by three percentage points. Interest shall run from the date of default. The interest will run from the date of formal notice.
3. INTELLECTUAL/EXCLUSIVE PROPERTY
The Seller shall retain full and exclusive ownership of the idea, the project, including all acquisitions, graphic work, computer hours, tests, original printing, copyright, related computer material (e.g. CDs/DVDs) and anything else not expressly provided for, used for the conception of the “graphic projects”.
It is expressly agreed that no exclusivity clause shall be recognised in favour of the Buyer in relation to the purchased “graphic projects”.
Each party shall therefore remain free to use them for its own purposes, no exclusive rights and/or intellectual property rights being reserved by one party for the other.
The Buyer shall never be entitled to transfer the “graphic projects” object of this supply to third parties for any reason whatsoever, nor shall it ever use on its own and/or give in use to third parties for any reason whatsoever the name of each line contained in the “graphic projects”.
4. JURISDICTION
This contract is drawn up in the Italian language and, for everything not expressly governed herein, reference shall be made to the provisions of the Italian Civil Code.
Any disputes that may arise, for any reason whatsoever between the parties, regarding matters in any way pertaining to the construal and execution of this contract, once all attempts at amicable settlement between the parties, and which the parties undertake to seek as a matter of priority, have proved unsuccessful, shall fall under the exclusive jurisdiction of the Court of Modena, or, for matters that the law expressly reserves to the jurisdiction of the Companies Court, shall fall under the exclusive jurisdiction of the Companies Court of Bologna.
